2010

Mirant Corporation and RRI Energy have entered into a definitive merger agreement.  The new company, which will be called GenOn Energy, will possess approximately 24,700 MW of generating capacity.  Mirant stockholders will own approximately 54% of the new company, and RRI stockholders will own 46% of the new company. 4/10

BHE Holdings, a subsidiary of Nova Scotia-based Emera, has agreed to purchase all outstanding shares of Maine & Maritimes, the holding company of Maine Public Service.  3/10

FirstEnergy Corp. has entered into an agreement to purchase Allegheny Energy Inc. 2/10

2009

Chesapeake Utilities and Florida Public Utilities have merged.  FPU serves electric customers in northwest Florida, and is now a wholly-owned subsidiary of Chesapeake Utilities.  10/09

A consortium of US and Candadian pension funds led by Macquerie Infrastructure has purchased Puget Energy, the parent company of Puget Sound Energy.  Others included in the group are the Canada Pension Plan Investment Board, British Columbia Investment Management, Alberta Investment Management, Macquerie-FSS Infrastructure Trust and Macquerie Bank.  2/09

2008

MidAmerican Energy Holdings, a subsidiary of Berkshire Hathaway, Inc., has agreed to purchase Constellation Energy Group Inc., the nation's largest wholesale electric power seller.  Constellation is also the parent company of electric utility Baltimore Gas & Electric.  9/08  The merger has been cancelled.  Constellation is instead selling a stake in 49.99 percent of their nuclear fleet to the French utility EDF.  12/08

Sempra Energy acquired EnergySouth's natural gas storage and distribuition assets in the southeast.  10/08

Iberdola, a Spanish energy company, has purchased Energy East.  Energy East owns three electric utilities: Rochester Gas & Electric, New York State Electric & Gas Corp., and Central Maine Power Co.  9/08

Black Hills Corporation has purchased Aquila Inc.'s electric utility in Colorado and its gas utility operations in Colorado, Kansas, Nebraska, and Iowa. Acquila's electric properties in Missouri have been merged into a subsidiary of Great Plains Energy and will operate as Kansas City Power and Light. 7/08

PNM Resources and Continental Energy Systems are swapping natural gas and electric utilities.  PNM is purchasing Cap Rock Holdings and its subsidiary Cap Rock Energy from Continental.  Cap Rock serves 36,000 electric customers in Texas.  Contintal is purchasing PNM's gas operations in New Mexico.  1/08  Continental's sale of its electric utility in Texas to PNM Resources has been cancelled. 7/08

2007

National Grid, a British company that owns several New England electric utilities, has purchased KeySpan, which owns several natural gas distribution systems serving New York, Massachusetts and New Hampshire and electric generating capacity in New York.  8/07

Australian holding company Babcock & Brown Infrastructure agreed to purchase NorthWestern Corp., South Dakota's largest electric and gas utility.  4/06; Merger withdrawn 7/07

The Macquarie Consortium, an investor group led by Macquarie Infrastructure Partners and Diversified Utility and Energy Trusts (an Australian company), has purchased Duquesne Light Holdings  5/07

Duke Energy has purchased the wind power development business of Tierra Energy from Energy Investment Funds.  The acquisition includes over 1,000 MW of wind assets throughout the west and southwest. 5/07

Northern New England Energy, a subsidiary of Quebec-based Gaz Matro, has acquired Green Mountain Power, a Vermont utility   4/07

TXU Corp has agreed to a buyout by two private equity firms: Texas Pacific Group and Kohlberg Kravis Roberts.  As a condition of the sale, the firms have agreed to cancel the development of TXU's proposed coal-fired plants. 

WPS Resources and Peoples Energy have merged to form a new company, Integrys Energy Group. WPS Resources' shareholders own approximately 57.6 percent of the combined company, and Peoples Energy shareholders own approximately 42.4 percent. 2/07

Alliant subsidiary Interstate Power and Light has agreed to sell its transmission assets in Iowa, Minnesota and Illinois to ITC Midwest, which is a subsidiary of ITC Holdings.  1/07

2006

FPL Group, parent company of Florida Power & Light, is merging with Constellation Energy Group, Inc., parent company of Baltimore Gas & Electric; both companies also own unregulated power plants 12/05; merger withdrawn 10/06

Exelon Corp announced plans to acquire Public Service Enterprise Group, holding company for Public Service Electric & Gas, an investor-owned utility serving customers in New Jersey 12/04; merger withdrawn 9/06

WPS Resources Corp. acquired two natural gas operations from Aquila Inc. - Michigan Gas Utilities and Minnesota Gas.  Its purchase of Michigan Gas was completed in April, 2006, and its purchase of Minnesota Gas was completed in July, 2006.  7/06

Southern Company merged its two Georgia subsidiaries - Georgia Power and Savannah Electric - into a single utility  7/06

Duke Energy completed it purchase of Cinergy; Duke electric operations are in North Carolina and South Carolina, and Cinergy's electric utility subsidiaries, Cincinnati Gas & Electric Co., Union light, Heat & Power, and PSI Energy, serve customers in Indiana, Ohio and Kentucky.  4/06

MidAmerican Energy Holdings Co. has completed its acquisition of PacifiCorp from ScottishPower PLC. 3/06

American Electric Power subsidiary Columbus Southern completed its purchase of Monongahela Power's southeastern Ohio service territory  1/06

 

2005

TNP Enterprises, holding company for Texas-New Mexico Power Company, was acquired by S.W. Acquisition Corp, a private investor group, and became a privately-held corporation, TNP Enterprises Inc 4/00; PNM Resources, holding company for Public Service Company of New Mexico, acquired TNP Enterprises 6/05

Wisconsin Public Service Corp. is purchasing a majority of the electric distribution assets of Consolidated Water Power Company, which is a subsidiary of Stora Enso North America, a paper manufacturer 5/05

Enron agreed to sell its electric utility subsidiary, Portland General Electric to Oregon Electric Utility, a new company funded by an investor group, including Texas Pacific Group 11/03; the Oregon PUC rejected Texas Pacific Group's application 3/05 and Texas Pacific Group terminated the deal 4/05

Black Hills Corp. purchased Cheyenne Light, Fuel & Power from Xcel Energy 1/05

2004
An investor group, including Kohlberg Kravis Roberts, JP Morgan Partners and Wachovia Capital Partners, are purchasing UniSource Energy, holding company for Tuscon Electric Power 11/03; After the Arizona Corporation Commission rejected the acquisition, the investor group terminated the deal 12/04

Ameren purchased, from Dynegy, Illinois Power (renamed AmerenIP) and Dynegy's 20% interest in Electric Energy, which owns the Joppa coal-fired station 10/04

Citizens Communications sold its Vermont Electric Division distribution business to the Vermont Electric Cooperative 4/04  and its Vermont transmission system to the Vermont Electric Power Company 12/03

Central Vermont Public Service sold its subsidiary, Connecticut Valley Electric, to Public Service Company of New Hampshire, a subsidiary of Northeast Utility 1/04

2003
Exelon Corp, parent company of Commonwealth Edison and PECO Energy, announced a deal to purchase Illinois Power, a subsidiary of Dynegy, contingent on the state legislature enacting certain provisions; the deal was cancelled the same month when the legislation failed 11/03

Carolina Power and Light Co acquired North Carolina Natural Gas Corp 7/99; CP&L’s successor company, Progress Energy sold North Carolina Natural Gas Corp and its 50% interest in Eastern North Carolina Natural Gas to Piedmont Natural Gas 9/03

UniSource Energy, parent company of Tucson Electric Power, purchased Citizens Communications Company’s (formerly Citizens Utilities) Arizona transmission and distribution system; the acquired system is now known as UniSource Energy Services 8/03

Ameren Corp purchased CILCORP, the holding company for Central Illinois Light Co, from AES Corp 1/03

2002
Unitil merged its two New Hampshire utilities, Concord Electric and Exeter & Hampton Electric into one utility, Unitil Energy Systems 12/02

Citizens Utilities (renamed Citizens Communications Company) is selling its Vermont and Arizona systems to Cap Rock Energy Corp (a new investor-owned utility formed from Cap Rock Electric Coop) and its Hawaii system, Kauai Electric, to Kauai Island Utility Cooperative 2/00; the Hawaii public utility commission rejected the sale to the cooperative 8/00; agreement with Cap Rock Energy cancelled 3/01; The sale of Kauai Electric was renegotiated 3/02, and the sale of Kauai Electric to the cooperative completed 11/02

Exelon Corp acquired 49.9% of Sithe North America, whose assets include 27 operating plants totaling 3,800 mWs, 2,500 mWs under construction, and 3,700 mWs in advanced development; Exelon has the option to purchase the remaining 50.1% in 2 to 5 years; (the deal was made by PECO Energy Co before its merger into Exelon was completed) 12/00; Exelon purchased the remaining 50% of Sithe’s New England plants, which account for approximately 75% of Sithe’s assets 11/02

Potomac Electric Power Co merged with Conectiv, Inc and formed a registered holding company, Pepco Holdings Inc 8/02
